Welcome to XADU. By accessing or using our website, mobile application, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.
These Terms constitute a legally binding agreement between you and XADU. We reserve the right to modify these Terms at any time. Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms.
2. Use of Service
Eligibility

All payments are processed through secure third-party payment gateways. We do not store your complete credit card information.
Order Acceptance
Your order is an offer to purchase products. We reserve the right to accept or reject any order for any reason, including product availability, errors in product information, or suspected fraudulent activity.
4. Shipping and Returns
Shipping and delivery are subject to our Shipping Policy. Returns and refunds are governed by our Returns & Refunds Policy.
Risk of loss and title for products pass to you upon delivery to the shipping carrier. We are not responsible for lost, stolen, or damaged packages after they leave our facility.

The Service and its entire contents, features, and functionality (including but not limited to information, software, text, displays, images, video, and audio) are owned by XADU, its licensors, or other providers of such material and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.
License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes. This license does not include any right to:
- Resell or make commercial use of the Service
- Modify, copy, or create derivative works
- Download or copy content except as permitted
- Use data mining, robots, or similar tools
Trademarks
XADU name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of XADU. You may not use such marks without our prior written permission.
6. User-Generated Content
Our Service may allow you to submit reviews, comments, photos, and other content ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content.
You represent and warrant that your User Content:
- Does not violate any third-party rights
- Is accurate and not misleading
- Does not contain offensive or harmful content
- Complies with all applicable laws
7. Disclaimers and Limitations
Service "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, XADU SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.
Our total liability to you for any claims arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or ₹1,000, whichever is greater.
8. Indemnification
You agree to indemnify, defend, and hold harmless XADU, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another person or entity.
9. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. All provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.
11. Dispute Resolution
Before filing a formal legal claim, you agree to first contact us at legal@xadu.in to seek an informal resolution. We will work in good faith to resolve any disputes.
If we cannot resolve the dispute informally, both parties agree to submit to binding arbitration in Mumbai, Maharashtra, India, in accordance with the Arbitration and Conciliation Act, 1996.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes your acceptance of the modified Terms.
13. Severability and Waiver
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives to the greatest extent possible, and the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
14. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and XADU regarding the Service.
